Welcome to Mitchell Brand Management, LLC (“MBM”), which includes MBM Consulting, MBM Academy, VERDORA™ Career Strategy System, and related products, programs, and services (collectively, the “Services”).
By accessing or using our websites, digital products, or materials, you agree to the following Terms of Use (“Terms”). Please read them carefully before using any MBM platform or purchasing any MBM product.

1. Ownership and Intellectual Property

All content—including but not limited to text, guides, training frameworks, prompts, visual assets, modules, and downloadable resources—is the exclusive intellectual property of Mitchell Brand Management, LLC.

All rights are reserved under U.S. and international copyright and trademark laws.
The MBM, MBM Academy, and VERDORA™ names and logos are claimed trademarks of Mitchell Brand Management, LLC.

Unless expressly permitted in writing, you may not copy, reproduce, distribute, sublicense, modify, or use any MBM content for commercial, consulting, instructional, or training purposes.

2. License of Use

When you purchase or access any MBM digital product, you receive a single-user, non-transferable license for personal or internal professional development use only.

You may not:

  • Use any MBM product or content in coaching, consulting, or training for others without a commercial license.

  • Share your access, materials, or downloads with clients, students, coworkers, or organizations.

  • Republish or publicly post excerpts without written authorization.

For organizations, workforce boards, or teams use, a separate seat-based or enterprise license is required. Please contact info@mbmstrategy.com for licensing inquiries.

3. AI & Technology Guidance Disclaimer

Some MBM materials include structured guidance for third-party tools such as ChatGPT or other AI platforms.
MBM does not control how those platforms store, interpret, or secure your information.
By using such tools, you acknowledge that you are solely responsible for the data you input and agree that MBM shall not be held liable for any data exposure, retention, or misuse by third-party systems.

4. No Client or Coaching Relationship

Use or purchase of any MBM product or resource does not establish a consulting, advisory, or coaching relationship with MBM or any of its affiliates.
Custom consulting or training services require a separate written agreement.

5. Educational and Results Disclaimer

MBM products and programs are provided for educational and informational purposes only.
While designed to enhance business operations, career readiness, or digital skills, MBM makes no guarantees of specific results, income, employment, or business outcomes.
Results depend on user effort, implementation, and external market factors.

6. Digital Products & Refund Policy

All MBM digital products (including guides, courses, frameworks, and downloads) are delivered electronically and are non-refundable once access is granted.
Due to the nature of digital content, MBM does not offer returns or exchanges.

If you experience technical issues accessing a file or course, please notify info@mbmstrategy.com within 7 days of purchase for assistance.

All products are licensed for individual use only and may not be shared, resold, or redistributed in any format.

7. Consulting Services

Consulting and training services delivered by MBM are subject to a separate Statement of Work or Consulting Agreement.
In the absence of a signed agreement, any advice, recommendations, or materials shared are provided as general business guidance and do not constitute professional, legal, or financial advice.

8. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles.
Any disputes arising under these Terms shall be resolved exclusively in the appropriate courts located in Ohio.

9. Limitation of Liability

To the fullest extent permitted by law, Mitchell Brand Management, LLC shall not be liable for any indirect, incidental, consequential, or punitive damages resulting from your use of our websites, products, or materials.
MBM is not responsible for business losses, missed opportunities, or outcomes resulting from the implementation of its educational content.

10. Modifications

MBM may update or revise these Terms at any time without notice.
Continued use of MBM websites, products, or services after any update constitutes your acceptance of the revised Terms.
The effective date above will always reflect the latest version.

11. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
